Terms & Conditions

These Terms & Conditions apply to design services provided by RGZ Studio unless otherwise agreed in writing.

Project-specific agreements contained in an accepted quotation, proposal or contract take precedence where they expressly differ from these general terms.

1. About RGZ Studio

RGZ Studio is an independent graphic design studio established in the Netherlands.

2. Services

RGZ Studio provides creative services that may include:

— Brand identity design

— Logo design

— Packaging design

— Print and editorial design

— Social media design

— Web and visual web design

— Motion graphics

— 3D design

— Video editing

— Related graphic design services

The exact scope, deliverables, price and timeline for each project will be defined in the relevant quotation, proposal or agreement.

3. Quotations and project scope

A quotation or proposal describes the work included in a project.

Any service, deliverable or request not included in the agreed scope may be considered additional work.

Unless otherwise stated, additional design work is charged at the current RGZ Studio hourly rate.

The standard RGZ Studio hourly rate is €60 per hour, unless another rate has been agreed in writing.

Prices are exclusive of VAT where VAT is applicable.

4. Booking and deposit

Unless otherwise agreed in writing, a project requires a 50% deposit before creative work begins.

A project is considered booked once:

— The project scope has been accepted

— Any required agreement has been accepted or signed

— The required deposit has been received

— The necessary initial client materials have been supplied

RGZ Studio may postpone the project start date if these requirements are not completed on time.

5. Client responsibilities

The client is responsible for providing accurate and complete information and materials required for the project.

This may include:

— Final text and copy

— Images

— Logos

— Product information

— Packaging information

— Dimensions

— Dielines

— Printer specifications

— Legal or regulatory text

— Website content

— Brand assets

— Feedback and approvals

Unless specifically agreed otherwise, RGZ Studio is not responsible for verifying the legal accuracy of information supplied by the client.

The client confirms that they have the necessary rights or permissions to use materials they provide to RGZ Studio.

6. Timeline

Project timelines are estimates unless a fixed deadline has explicitly been agreed in writing.

The client must provide requested materials, feedback and approvals within a reasonable time.

Delays caused by the client may result in the project timeline being adjusted.

RGZ Studio is not responsible for delays caused by missing information, late feedback, third-party suppliers or circumstances reasonably outside RGZ Studio's control.

7. Revisions

Unless otherwise stated in the project proposal, two revision rounds are included.

A revision round means one consolidated set of feedback relating to the presented design direction.

Additional revision rounds, new requests or work outside the original scope may be charged at €60 per hour, unless another rate is agreed.

A request for a substantially new creative direction after a concept or direction has been approved may require a revised quotation.

8. Feedback and approval

Clients are expected to provide clear and consolidated feedback.

Once the client approves a design, concept or final deliverable in writing, RGZ Studio may proceed to the next stage or final production.

Changes requested after final approval may be treated as additional work.

9. Payment

Payment terms will be stated on the relevant quotation or invoice.

Unless otherwise agreed:

— 50% is paid before the project begins

— The remaining 50% is paid before final production-ready, high-resolution or source files are released

Invoices must be paid within the payment period stated on the invoice.

If an invoice remains unpaid after its due date, RGZ Studio may pause ongoing work or withhold final deliverables until payment is received.

Any statutory rights concerning late payment, interest and collection costs remain applicable.

10. Cancellation and project termination

If a client wishes to cancel a project after work has begun, RGZ Studio is entitled to payment for work already performed and costs already incurred.

Any refund, additional payment or outstanding amount will depend on the amount of work completed and applicable law.

If RGZ Studio is unable to continue a project for reasons within its reasonable control, the client will only be charged for work properly performed up to that point, subject to applicable law.

Nothing in this section limits mandatory cancellation or withdrawal rights that a consumer may have under applicable law.

11. Consumer rights

Where the client is acting as a consumer and enters into a distance contract with RGZ Studio, mandatory consumer protection law may apply, including a statutory cooling-off period where applicable.

Any mandatory consumer rights take precedence over provisions in these Terms & Conditions that would otherwise conflict with those rights.

Where a consumer expressly requests that services begin during an applicable cooling-off period, RGZ Studio may request the consumer's explicit consent and acknowledgement as required by law.

12. Intellectual property

Unless otherwise agreed in writing, RGZ Studio retains intellectual property rights in creative work until full payment for the relevant project has been received.

Once full payment has been received, the client receives the rights or licence to use the final approved deliverables as specified in the project agreement.

Unused concepts, rejected designs, drafts, explorations, working files and preliminary materials remain the property of RGZ Studio unless otherwise agreed.

Transfer of final usage rights does not automatically include ownership of all working files, drafts, fonts, software, third-party assets or unused concepts.

13. Third-party assets and licences

Some projects may involve third-party materials such as:

— Fonts

— Stock photography

— Mockups

— Illustrations

— Plugins

— Software

— Templates

— Music or audio

— Other licensed assets

These materials remain subject to their respective licence terms.

Where necessary, the client may be required to purchase or maintain their own licence.

RGZ Studio cannot transfer rights that it does not legally own.

14. Source and working files

Editable or source files are only included where specifically stated in the quotation or project scope.

Final delivery may consist of production-ready or exported files appropriate for the agreed use.

Internal working files, experimental files and unused design concepts are not automatically included.

15. Portfolio and promotion

Unless confidentiality has been agreed in writing, RGZ Studio may display completed and publicly released project work in its portfolio, website, social media, design platforms, presentations and promotional materials.

RGZ Studio will not intentionally publish confidential client information.

If a project must remain confidential, this must be agreed in writing.

16. Printing, manufacturing and third-party production

Where a project involves printing, packaging production, development, manufacturing or another third-party supplier, RGZ Studio may prepare files according to the specifications supplied.

The client is responsible for approving final content and production files before manufacturing or publication.

Colour, materials, print results and production quality can vary between suppliers, screens, printers and manufacturing processes.

Where possible, physical proofs or production samples should be approved before large production runs.

17. Website and digital projects

Unless specifically included in the agreed scope, RGZ Studio is not responsible for:

— Hosting

— Domain registration

— Ongoing website maintenance

— Third-party software

— Platform subscriptions

— Security updates

— Legal compliance of client-provided content

— Changes caused by external platforms after delivery

Any ongoing support must be agreed separately.

18. Liability

RGZ Studio will perform its services with reasonable professional care.

To the extent permitted by applicable law, RGZ Studio is not responsible for indirect or consequential losses resulting from the use of delivered work, third-party services, client-provided information or circumstances outside RGZ Studio's reasonable control.

Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by law.

19. Complaints

If you believe there is a problem with a service or deliverable, please contact RGZ Studio as soon as reasonably possible at:

RGZ Studio will make reasonable efforts to review and resolve legitimate complaints.

20. Force majeure

RGZ Studio is not responsible for a delay or failure to perform obligations caused by circumstances reasonably outside its control.

Where such circumstances occur, RGZ Studio will communicate with the client and make reasonable efforts to continue or reschedule the project.

21. Changes to these Terms

RGZ Studio may update these Terms & Conditions from time to time.

The version applicable to a specific project is the version provided or made available to the client when the relevant agreement is entered into, unless otherwise agreed.

22. Governing law

These Terms & Conditions and agreements with RGZ Studio are governed by Dutch law, subject to any mandatory consumer protection rules that apply.

The parties should first make reasonable efforts to resolve a dispute directly.

Any dispute that cannot be resolved will be handled by the competent court determined under applicable law.
